Terms of use

3.1. Acceptance
By accessing or using the Service you agree to be bound by these Terms. If you do not agree,
do not use the Service.

3.2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have
capacity to enter these Terms.

3.3. Account registration & security

3.3.1. Accurate information: You must provide current and accurate account information.
3.3.2. Security: Keep credentials secure. You are responsible for activity under your
account.
3.3.3. Verification: Shift AgriHub may verify identity, business credentials or contact details
and may suspend accounts pending verification.

3.4. Listings & User Content

3.4.1. Ownership: You retain ownership of the Content you create. By posting Content
you grant Shift AgriHub a worldwide, non‑exclusive, royalty‑free, sublicensable
license to use, reproduce, adapt, publish and display such Content to operate and
promote the Service.
3.4.2. Truthfulness: Listings must be accurate, honest and not misleading.
3.4.3. Regulatory compliance: Listings for regulated goods or services must include lawful
permits, registration numbers or certifications where applicable.

3.5. User responsibilities & representations

You represent and warrant that: -
3.5.1. You have authority to post Content and are legally permitted to do so;
3.5.2. Content complies with applicable laws and these Terms;
3.5.3. You will conduct any offline or third‑party engagements with due diligence and in
compliance with sector rules and law.

3.6. Prohibited conduct and content

3.6.1. Users must not post or engage in:
3.6.1.1. Illegal activity, fraud, counterfeit goods, banned inputs or regulated items
without proper authorization;
3.6.1.2. Hate speech, harassment, threats, obscene or sexually explicit material;
3.6.1.3. Malware, phishing, scraping, automated data harvesting or unauthorised use
of other users’ data;
3.6.1.4. Misrepresentation of identity, qualifications, certifications or business
credentials;
3.6.1.5. Manipulating reviews, ratings, or engaging in astroturfing or fake accounts.
3.6.2. Shift AgriHub reserves the right to remove Content, suspend or terminate accounts
and cooperate with authorities.

3.7. Moderation, removal and reporting
3.7.1. Shift AgriHub moderates using a combination of automated tools and human review
according to the Community Guidelines and sector rules.
3.7.2. To report Content or users, use in‑platform reporting tools or email address.
3.7.3. Shift AgriHub may disclose user data to the extent required by law or to protect legal
rights.

3.8. Transactional disclaimer (No marketplace)

3.8.1. Shift AgriHub does not facilitate, broker, inspect, guarantee or fulfil transactions. Any
interaction leading to a contract, sale, hiring or investment is exclusively between
Users.
3.8.2. Shift AgriHub will not be a party to such contracts and disclaims any implied
warranties concerning goods, services or outcomes.

3.9. Paid features and billing

3.9.1. Shift AgriHub may offer paid/ premium features (featured Listings, subscriptions,
promoted content). Fees, billing cycles and refund terms will be disclosed at
purchase.
3.9.2. Third‑party payment processors may handle payments; their terms apply.

3.10. Intellectual property

3.10.1. Shift AgriHub IP: The design, text, graphics, logos and software are our property.
You may not reproduce or create derivative works except as permitted.
3.10.2. IP claims: Follow our Copyright & Takedown Procedure to notify Shift AgriHub of
alleged infringement.
3.11. Privacy and data protection
Shift AgriHub collects and processes personal data as set out in the Privacy Policy. Use of the
Service constitutes consent where required by law.
3.12. Disclaimers and warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE
MAXIMUM EXTENT PERMITTED BY LAW, SHIFT AGRIHUB DISCLAIMS ALL
WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A
PARTICULAR PURPOSE AND NON‑INFRINGEMENT.

3.13. Limitation of liability

3.13.1. EXCEPT WHERE PROHIBITED BY LAW, SHIFT AGRIHUB SHALL NOT BE
LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR
PUNITIVE DAMAGES.
3.13.2. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL BE
LIMITED TO THE AMOUNT OF FEES PAID BY YOU TO SHIFT AGRIHUB
IN THE 12 MONTHS PRECEDING THE CLAIM. IF YOU HAVE PAID NO
FEES, OUR LIABILITY SHALL BE LIMITED TO KES FIFTY THOUSAND
SHILLINGS.

3.14. Indemnity

You agree to indemnify Shift AgriHub and its officers, employees and agents from claims
arising from your breach of the Terms, your Listings or your unlawful conduct.

3.15. Suspension and termination

Shift AgriHub may suspend or terminate access for violation of these Terms or for safety
reasons. Surviving provisions include indemnity, limitation of liability, and dispute clauses.

3.16. Changes to these Terms

We may revise these Terms and will publish the revised version with a new effective date.
Continued use after notice constitutes acceptance.

3.17. Governing law & dispute resolution

These Terms are governed by the laws of the Republic of Kenya. Parties shall attempt
good‑faith negotiation and mediation; unresolved disputes may proceed to arbitration under
the Nairobi Centre for International Arbitration rules.
